3.2 AI System Design and Deployment

Custom AI solution development, integration with existing systems, testing, deployment, and knowledge transfer.

3.3 Ongoing AI Optimization and Support

Continued performance monitoring, system refinement, technical support, and consultative guidance.

Service availability and specific deliverables will be detailed in individual service agreements. We reserve the right to modify service offerings with appropriate notice to existing clients.

4. User Responsibilities

4.1 Acceptable Use

When using our website or services, you agree to:

Service fees are specified in individual service agreements or quotations. All prices are stated in Malaysian Ringgit (RM) unless otherwise noted.

6.2 Payment Schedule

6.3 Late Payments

Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate permitted by Malaysian law, whichever is lower.

7. Service Delivery and Changes

8. Confidentiality

Both parties agree to maintain confidentiality of information disclosed during our business relationship. This includes:

Confidentiality obligations continue for three years after termination of services, except for information that becomes publicly available through no fault of the receiving party.

9. Disclaimers and Limitations

9.1 Service Disclaimer

Our services are provided on an "as is" basis. While we apply professional standards and best practices, we cannot provide absolute guarantees regarding AI system performance or specific business outcomes.

9.2 No Warranty of Results

AI system performance depends on numerous factors including data quality, environmental conditions, and ongoing maintenance. We do not warrant specific business results or return on investment.

9.3 Professional Advice Disclaimer

Our services constitute technical consultation and implementation support. They do not constitute legal, financial, or medical advice. You should consult appropriate professionals for such matters.

10. Limitation of Liability

To the maximum extent permitted by Malaysian law:

  • Our total liability for any claims arising from our services shall not exceed the fees paid for the specific services giving rise to the claim
  • We shall not be liable for indirect, incidental, special, or consequential damages including lost profits or business interruption
  • We shall not be liable for damages resulting from your misuse of AI systems or failure to follow our guidance

These limitations apply regardless of the legal theory on which claims are based, whether contract, negligence, or otherwise.

11. Indemnification

You agree to indemnify and hold harmless Synthetica Labs, its employees, and contractors from any claims, damages, or expenses arising from your use of our services, violation of these terms, or infringement of third-party rights.

12. Termination

12.1 By Either Party

Either party may terminate ongoing services with 30 days written notice. Project-based services typically continue until completion or mutual agreement to terminate.

12.2 For Cause

We may terminate services immediately if you breach these terms, fail to make payments, or engage in conduct that could harm our business or reputation.

12.3 Effect of Termination

Upon termination, you remain responsible for payment of services rendered. We will provide documentation for work completed to date. Confidentiality obligations survive termination.

13. Dispute Resolution

13.1 Governing Law

These Terms and Conditions are governed by the laws of Malaysia. Any disputes will be subject to the exclusive jurisdiction of Malaysian courts.

13.2 Informal Resolution

Before initiating formal proceedings, parties agree to attempt good-faith resolution of disputes through direct negotiation.

13.3 Legal Proceedings

If informal resolution fails, disputes shall be resolved in courts located in Kuala Lumpur, Malaysia.

14. General Provisions
